Terms

Effective date: October 23, 2026

Our agreement

These Terms govern the Autivis application and related services provided by Autivis LLC, a Florida multi-member limited liability company, to the merchant identified in its Shopify installation or order. By accepting these Terms, you confirm that you may bind that merchant and that your staff are authorized to use its connected accounts. “Autivis,” “we” and “us” mean Autivis LLC; “you” means the merchant.

The service and your controls

Autivis helps merchants configure, preview and operate commerce activities inside Shopify admin. The public MVP covers Settings and Intake Sweep, with Governor included within Sweep. Governor is not a separate paid activity. Other modules and activities may be displayed with their settings, previews and prices before they are available or activated. A displayed item does not promise a launch date or grant execution rights.

Business activities start OFF. Only an authorized merchant user may enable them, subject to the activity's required permissions, current paid entitlement or trial and technical readiness. You control schedules and connections and may turn activities OFF. Mandatory authentication, security, uninstall and privacy-request processing operate independently of activity purchases and cannot be disabled by turning a business activity OFF.

You are responsible for reviewing proposed changes and resulting store information, testing new activities and maintaining suitable backups of store information you need. AI output can be incomplete or incorrect; it does not constitute legal, financial or professional advice, and results are not guaranteed. Autivis's preview, verification and undo features do not guarantee that every external action can be reversed. You remain responsible for product accuracy, rights, regulatory disclosures and sales decisions.

Plans and Shopify billing

There is no permanent free tier. An eligible merchant receives a three-day trial, as shown in Shopify's subscription approval. Trial eligibility applies to the merchant and does not restart merely because the app is reinstalled or the selected activities change.

The monthly USD plan prices are $15 for up to 50 new products per month, $39 for up to 500 new products per month, $99 for up to 2,000 new products per month and $199 for up to 5,000 new products per month. The allowance is a hard cap for the plan period shown in the app. On reaching the cap, further new-product processing is blocked; contact Autivis for a larger allowance or needs above 5,000 products per month. There are no automatic overage charges or automatic upgrades. The app shows the current allowance and plan period; reinstalling does not itself create a new allowance or trial.

Autivis uses one Shopify recurring app subscription for the merchant's selected plan. The selected monthly price and Shopify's actual billing interval, trial, taxes, currency and adjustments are disclosed before approval. Shopify handles app-subscription payment; Autivis does not collect payment-card details. Merchant-owned AI provider usage is billed separately by that provider and is not an automatic Autivis overage. A plan change requires the merchant's action and any Shopify approval; the service must not automatically move the merchant to a more expensive tier.

You must approve a charge or replacement when Shopify requires approval. A pending or declined request does not activate the new selection. The prior approved selection remains effective until its replacement becomes active or is cancelled. Any proration, billing-cycle adjustment or credit follows Shopify's displayed and applicable billing rules.

You may change your selection through the app and cancel future renewal through the app's supported cancellation flow or by uninstalling, subject to Shopify's billing rules. Turning an activity OFF pauses its operation; it does not by itself remove that activity from a paid selection or cancel the subscription. Changes to existing prices require notice and the approval required by Shopify or applicable law. Amounts already charged are not refundable unless required by law, provided by Shopify's applicable billing rules or agreed by Autivis for a billing error.

Your data and connections

You retain your rights in the data, documents, images, instructions and other material you provide. You grant Autivis the limited permission needed to host, process, transmit and display that material to provide, secure and support your selected services and perform your authorized instructions. We do not acquire ownership of your store data. As between you and Autivis, you may use generated output to the extent permitted by law and the rights of others.

You must have the rights and lawful basis needed for the material and instructions you provide. Do not send unnecessary customer information, prohibited content, passwords, sensitive identification documents or regulated health/financial information unless a separately agreed and approved feature permits it.

For v1 AI activities, you connect your own OpenAI API account and provide its API key. OpenAI meters and bills that usage directly to you under your agreement with OpenAI; those charges are separate from your Autivis subscription and are not passed through by Autivis. A consumer AI subscription does not establish an API entitlement. Claude and Shopify Sidekick integrations are planned for v2 and are not included as available v1 services.

Merchants sign in to their connected services themselves. Autivis stores only the required encrypted, scoped access credentials or sessions, never those services' passwords. You may revoke a connection. Disconnect revokes Autivis access to the connection. Our credential-deletion commitment requires removal of stored access/session credentials within the applicable connection scope on disconnect or uninstall. Shopify and other providers independently control their services and already published content.

Our Privacy Policy describes personal-information handling. The Data Processing Addendum governs personal information that Autivis processes on your behalf and prevails over these Terms for a conflict about that processing.

Appropriate use and access

Use Autivis only for authorized merchant operations and comply with applicable law and Shopify/provider policies. Do not attempt unauthorized access, disrupt the service, introduce malware, bypass entitlement or safety controls or use the app to infringe another person's rights. Protect your Shopify and connected-service accounts and notify us promptly of suspected compromise. Your staff's actions within their authorized access are your responsibility.

We may restrict an activity or suspend access where reasonably necessary to address unlawful use, nonpayment, a material security risk or a breach of these Terms. We will provide notice and an opportunity to remedy where practicable and safe. We do not suspend mandatory privacy processing solely because a business subscription is unpaid.

Changes, availability and termination

We may maintain or change the service, including integrations and activities. We will give reasonable notice of material changes that affect a purchased service when practicable. External-provider outages, API changes and permission changes may affect availability. No service-level commitment applies unless separately agreed in writing.

Either party may end the service relationship. You may uninstall or cancel as described above. We may terminate for an uncured material breach after reasonable notice, or immediately when required by law or necessary to address a serious security or unlawful-use risk. Termination ends access; obligations that by their nature continue, including accrued payment, confidentiality, lawful data handling and liability provisions, survive.

Before disconnecting or uninstalling, export information you need. Operational logs are retained for 30 days; change/undo history for 90 days while installed. Shopify customer-redaction requests are fulfilled within 30 days. Shop data is erased within 48 hours after we receive Shopify's shop/redact request, subject only to a specific legal retention obligation. These periods do not promise that merchant content already published to Shopify or another platform will be deleted from that platform.

Confidentiality and intellectual property

Each party will use the other's confidential information only to perform this agreement, restrict access to people and providers who need it and are bound to protect it, and take reasonable protective measures. Information is not confidential to the extent lawfully public, already known without restriction, independently developed or lawfully received from another source. A legally required disclosure may be made, with notice when permitted.

Autivis retains its rights in the software, service design and related materials. You receive a limited right to use the purchased service during your subscription. You may provide feedback voluntarily; Autivis may use that feedback to improve the service without acquiring rights in your confidential store data.

Warranties and responsibility

We will provide the service with reasonable care and skill. Except for that commitment and rights that cannot legally be excluded, the service and generated output are provided as available, without guarantees of uninterrupted operation, particular revenue, rankings, error-free output or fitness for a specific result. We do not disclaim an obligation imposed by applicable data-protection law or the DPA.

To the fullest extent permitted by applicable law, Autivis is liable under this agreement only for direct damages. Autivis is not liable for lost profits or indirect, special, incidental or consequential damages. Autivis's aggregate liability to the merchant arising out of or relating to this agreement, including claims in contract or tort (including negligence), is limited to one monthly subscription price of the merchant's current Autivis plan in effect immediately before the first event giving rise to the claim. Related claims share one aggregate cap; making multiple claims does not multiply it.

The cap is based on the selected plan's stated monthly subscription price, not the fees actually paid in the preceding thirty days or twelve months. During a free trial or a waived-charge period, the selected plan's stated monthly price still supplies the cap; the absence of a payment does not by itself make the cap zero. Taxes and charges paid directly to third-party providers are excluded. If no plan price has been agreed, this clause does not assign a zero-dollar cap by default; the applicable terms must be settled before providing that unpriced service.

The cap and damages exclusions do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law prohibits limiting. They do not remove a data subject's mandatory statutory rights or the parties' obligations to comply with applicable privacy and security law, respond to lawful requests or orders, or perform required deletion. The merchant's obligation to pay valid approved charges is not limited by Autivis's cap.

Shopify's role and separate obligations

Autivis LLC is solely responsible for the Autivis app, including its development, use, marketing, distribution, access, support and handling of merchant data. Shopify is not liable for faults in the app or harm resulting from its installation or use. Unless Shopify expressly states otherwise, Shopify cannot provide assistance with installing or using the app. Responsibility for liability arising from a merchant's access to or use of the app, including Autivis's access, use, distribution or storage of merchant data, rests with Autivis rather than Shopify.

The merchant-facing damages provision does not amend, cap or release Autivis's separate obligations to Shopify under the Shopify API terms, Partner Program Agreement or other applicable agreements, including defense and indemnity obligations. It does not bind Shopify, regulators, data subjects or other nonparties or reduce Shopify's required contractual protections. Shopify's own limitations of liability do not become a liability cap for Autivis.

Law, notices and other terms

Florida law governs this agreement, excluding its conflict-of-laws rules, except where mandatory law requires otherwise. Courts with competent jurisdiction in Broward County, Florida, are the agreed venue, subject to mandatory legal rights. These Terms do not create compulsory arbitration or waive rights that cannot be waived.

A change to these Terms will be posted with a revised date and notified where material. Material changes apply after the stated notice or acceptance required by law; they do not retroactively remove accrued rights. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision once is not a waiver. Neither party may assign this agreement in a way that reduces the other's legal rights without consent, except as part of a bona fide business transfer with notice and continued obligations.
